1. Acceptance of Terms

By accessing and using SoundCloud Download Gating By BandPass Records ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

SoundCloud Download Gating By BandPass Records is a platform that enables creators to publish private download gates for their music files. The Service enables users to:

  • Create a gate by providing a SoundCloud track URL and configuring requirements
  • Upload and manage an audio file that will be delivered after unlock
  • Share a private gate link with fans (gates are not listed in a public browse directory)
  • Allow fans to unlock downloads by completing required actions on SoundCloud (like/comment/follow)

3. User Accounts

To use certain features of the Service, you must sign up for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your account information to keep it accurate
  • Maintain the security of your password and identification
  • Accept all responsibility for activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

4. User Content and Conduct

You are solely responsible for the content you upload or share through the Service (including audio files, gate titles/descriptions, and SoundCloud URLs). You agree not to:

  • Upload content that contains malicious code, viruses, or harmful software
  • Upload content that infringes on intellectual property rights of others
  • Upload content that is illegal, harmful, threatening, abusive, or offensive
  • Impersonate any person or entity or misrepresent your affiliation with any entity
  • Interfere with or disrupt the Service or servers connected to the Service
  • Use the Service for any commercial purpose without our express written consent

We reserve the right to remove any content that violates these terms or that we determine is otherwise objectionable.

5. Intellectual Property

By uploading content to the Service (including audio files), you grant us a non-exclusive, worldwide, royalty-free license to host, store, and deliver that content solely for the purpose of operating the Service (for example: serving the download after a fan unlocks a gate). You retain all ownership rights to your content.

You represent and warrant that you own or have the necessary rights to grant the license described above for any content you upload.

6. Privacy and Data

Your use of the Service is also governed by our Privacy Policy. Please review our Privacy Policy to understand our practices regarding the collection and use of your information.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • Any defects or errors will be corrected
  • The Service or any files downloaded from it will meet your requirements

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

You acknowledge that files delivered through gates are provided by third-party creators, and we are not responsible for the content, legality, or quality of such files. Downloads may be redistributed by recipients, and you are responsible for choosing what you share and with whom.

9. Indemnification

You agree to indemnify and hold harmless SoundCloud Download Gating By BandPass Records, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any rights of another.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.
